These Terms & Conditions govern applications to and participation in The Fellowship (“Fellowship”), operated by Icehouse Ventures Ltd and Crimson Global Academy Ltd (“Organisers”).
By submitting an application, applicants agree to be bound by these Terms & Conditions.

1.2 Employees, contractors, directors, agents, and immediate family members of the Organisers are not eligible to apply.
1.3 Applicants who are under 18 years of age at the time of application must have the consent of a parent or legal guardian to apply. By submitting an application, the parent or legal guardian of an under-18 applicant confirms they have read and agree to these Terms & Conditions on behalf of the applicant.
2. Application Process

2.3 Late, incomplete, misleading, or invalid applications may be excluded at the sole discretion of the Organisers.
2.4 Applicants may submit only one application.

3. The Fellowship Award
3.1 Five Fellowship Awards are available.
3.2 Each Fellowship Award includes:
- tuition funding for either:
- a US High School Diploma programme; or
- International A Levels, delivered through Crimson Global Academy Ltd over approximately 12 months, with tuition valued at up to NZD $30,000 per recipient; and
- a NZD $10,000 equity-free grant intended to support participation in the programme and entrepreneurial activity.
3.3 Grant funding may be used for purposes including, but not limited to:
- travel;
- product development;
- research;
- marketing; and
- tools or resources relevant to building and growing a business.
3.4 Fellowship Awards are gifts only. No repayment, ownership interest, or equity participation is required by either Organiser.
3.5 Grant payments may be made directly to recipients or to nominated bank accounts approved by the Organisers. Where a recipient is under 18 years of age at the time of payment, grant payments will be made to a bank account held by or jointly with a parent or legal guardian, unless otherwise approved in writing by the Organisers.
3.6 The tuition component of the Fellowship Award is intended to constitute a scholarship or bursary for attendance at an educational institution and may be exempt income under section CW 36 of the Income Tax Act 2007. The status of the grant component for income tax purposes will depend on individual circumstances. Recipients are responsible for determining their own tax obligations and are encouraged to seek independent tax advice. The Organisers make no representation as to the tax treatment of any component of the Fellowship Award.
4. Selection Process
4.1 Fellowship recipients will be selected by representatives of the Organisers and any appointed judges.
4.2 Selection criteria and decisions are determined solely at the discretion of the Organisers.
4.3 The Organisers reserve the right not to award all available Fellowships if suitable applicants are not identified.
4.4 All decisions are final and no correspondence or appeals regarding selection decisions will be entered into.
5. Notification of Recipients
5.1 Successful applicants will be notified using the contact details provided in their application.
5.2 Applicants who are unsuccessful may also be notified at the discretion of the Organisers.
5.3 If a selected recipient:
- is found to be ineligible;
- cannot be contacted;
- declines the Fellowship; or
- fails to accept the Fellowship within 10 business days of notification,
the Organisers reserve the right to select an alternative recipient.
5.4 Applicants are responsible for ensuring their contact details remain accurate throughout the application process.
5.5 Where a selected recipient is under 18 years of age, notification of selection will be made to both the recipient and their parent or legal guardian. Acceptance of a Fellowship Award by an under-18 recipient must be co-signed by a parent or legal guardian within the acceptance period specified in clause 5.3.
5.6 A selected recipient (and, where the recipient is under 18, their parent or legal guardian) must complete Crimson Global Academy's enrolment form and agree to its Terms and Conditions of Enrolment and associated school policies (https://www.cga.school/nz/our-school/cga-provision-of-information/) within the acceptance period specified in clause 5.3. Failure to do so will be treated as a failure to accept the Fellowship Award under clause 5.3.
6. Publicity and Promotion
6.1 By accepting a Fellowship Award, recipients (and, where the recipient is under 18, their parent or legal guardian on the recipient's behalf) consent to the Organisers using their:
- name;
- photograph;
- school name;
- application content; and
- related media materials
for promotional, editorial, marketing, and publicity purposes in any media format without additional compensation.
6.2 Recipients agree to participate in reasonable promotional activities relating to the Fellowship if requested by the Organisers.
6.3 Where a recipient is under 18, the consent referred to in clause 6.1 must be given by a parent or legal guardian. The Organisers will not use the name, photograph, or application content of an under-18 recipient for promotional purposes without such consent having been obtained.
7. Privacy
7.1 Personal information collected through the Fellowship application process will be used solely for administering the Fellowship and related promotional activities.
7.2 Personal information will be handled in accordance with:
- the Privacy Act 2020; and

7.3 Personal information may be shared between the Organisers and with third-party service providers where reasonably necessary for administration of the Fellowship.
7.4 Where personal information is collected from or about an applicant who is under 18 years of age, the Organisers will take reasonable steps to ensure that a parent or legal guardian is aware of and consents to that collection. Personal information relating to under-18 applicants will be handled with additional care in accordance with the Privacy Act 2020.
7.5 By applying, applicants (and parents or legal guardians of under-18 applicants) acknowledge that their personal information may be held and processed outside New Zealand, including in accordance with Crimson Global Academy Ltd’s Privacy Policy: https://www.cga.school/nz/t-c/privacy-policy/.

at any time and at their sole discretion where reasonably necessary.
9.2 The Organisers may revoke a Fellowship Award where a recipient:
- breaches these Terms & Conditions;
- breaches Crimson Global Academy Ltd’s Terms and Conditions of Enrolment or associated school policies;
- provides false or misleading information;
- engages in conduct which may damage the reputation of either Organiser; or
- engages in serious misconduct, fraud, dishonesty, or unlawful conduct, or is charged with or convicted of a criminal offence.
10. Liability
10.1 To the maximum extent permitted by law, the Organisers are not liable for any loss, damage, cost, expense, or tax liability incurred by any applicant or recipient in connection with the Fellowship.
10.2 Applicants are responsible for obtaining independent financial, legal, or tax advice if required.
10.3 Participation in the Fellowship does not create any employment relationship, partnership, joint venture, or contractual entitlement between the recipient and the Organisers beyond these Terms & Conditions. Any contractual entitlements arising from a recipient's enrolment at Crimson Global Academy are governed separately by the Terms and Conditions of Enrolment and associated school policies.
11. Governing Law and Disputes
11.1 These Terms & Conditions are governed by the laws of New Zealand.
11.2 Any dispute arising in connection with the Fellowship will first be referred to mediation.
11.3 If mediation is unsuccessful, the dispute will be resolved by arbitration in New Zealand in accordance with the Arbitration Act 1996.
11.4 The mediator and arbitrator will be selected from a list of nominees provided by AMINZ.
